For the hire of rooms and the provision of additional services

Definitions: ''12BSqLtd" means 12 Bloomsbury Square Limited of 12 Bloomsbury Square London WC1A 2LP; the "Premises" means rooms hired out to Clients by 12BsqLtd and 'the Client' means the party or parties who has or have hired a room or room(s) and/or other services or facilities from 12BSqLtd.

Charges: The charges for the hire of rooms and the provision of Additional Services such as the provision of court reporting, translating, catering or any other services other than that of the room hire charge and shall be agreed in writing between the Client and 12BSqLtd.

Deposits: A deposit of the charges for the hire of rooms is payable on making the booking. The amount of deposit will be agreed between 12BSqLtd and the Client. In the event of failure to pay the agreed deposit at the time of booking 12BSq Ltd will reserve the right to cancel the booking.

Cancellations: In the event the Client cancels the booking of a room, the Client will pay the following charges:

i) Where 12BSqLtd secures an alternative booking for the room, for the period booked by the Client and cancelled: no charge.
ii) Where 12BSqLtd does not secure an alternative booking for the room for the period booked by the Client and cancelled:

(a) If the cancellation is notified to 12BSqLtd more than four months prior to the first day of the period booked: no charge.
(b) If the cancellation is notified to 12BSqLtd more than one month but less than four months prior to the first day of the period booked: a sum equivalent to 50% of the charge for the hire of the room for the period cancelled.
© If the cancellation is notified to the 12BSqLtd one month or less prior to the first day of the period booked and cancelled: 100% of the charge for the hire of the room for the period cancelled.

Where the Client cancels the booking of Additional Services, the Client shall pay the costs incurred by 12BSqLtd in securing those services or for which 12BSqLtd becomes liable to the providers of those services as a result of the cancellation. Any cancellation charges incurred must be paid by the client within 14 days of invoice.

NB: Cancellations must be notified in writing. The date of cancellation is deemed to be the date at which notice of cancellation is received by 12BSLtd.

Payment of account: All accounts shall be settled in full within 14 days of invoice. Invoices shall be rendered monthly, or at the end of the period of room hire, whichever is the earlier. In the event of late payment, 12BSLtd shall be entitled to charge interest at 3% above the HSBC base-lending rate for the time being, on all outstanding amounts.

Hours of use: The Client shall be entitled to use the room hired by it between the hours of 09.00 and 18.00 on Mondays to Fridays during the period of hire. Additional charges for the use of rooms outside these hours will be incurred and the terms will be agreed between the Client and 12BSqLtd.

Security: Clients are responsible for all property brought onto the premises.12BSqLtd accepts no responsibility for loss or damage to persons or property of the clients on the Premises. The Client is responsible for its own insurance for these purposes. This exclusion does not include liability for death or personal injury to any persons under the Occupiers Liability Act 1957.

Clearance of rooms: At the end of the period for which the Client has hired a room or rooms, the Client shall immediately vacate the Premises and remove all of its property from the Premises. 12BSqLtd shall charge the Client for any period when it, or its property, remains on the Premises after the period for which the Client had hired a room or rooms.

Disruption of business: 12BSqLtd shall use all reasonable endeavours to ensure that the conduct of the Client's business whilst on the Premises is not disrupted or interfered with by any other user of the Premises. 12BSqLtd reserves the right to terminate any room hire, without compensation or refund to the Client, if the Client or those invited onto the Premises by the Client conducts themselves in a manner likely to cause or which causes a nuisance to, or to disrupt the business of, other users of the Premises.

Damage to Premises: The Client shall treat the Premises, and 12BSqLtd's facilities and equipment with care. The Client shall be responsible to 12BSqLtd for any loss or damage caused to any of 12BSqLtd's property by the Client or by any other person invited onto the Premises by the Client.

Use/hire of rooms: 12BSqLtd reserves the right to substitute a room or rooms hired to a Client, but it will only do so where the conduct of its business reasonably requires. If 12BSqLtd is prevented from conducting business at the whole or a part of the Premises as a result of any damage caused or threatened to the Premises or any other event or circumstance outside its control, it shall be entitled to cancel the whole or a part of any room hire and shall not be liable for any loss or expenses incurred by the Client as a consequence.
